  1. ICL SOFTWARE LICENCE

  5. This Licence constitutes an agreement between you (the end user) and International Computers 
  6. Limited (hereinafter "ICL"). This Licence applies to the copy of the ICL software programs (comprising 
  7. launcher, installer, registration wizard, ICL FTP and ICL Ping programs, hereinafter "Software") that 
  8. you are now taking into use.
  9.  
  10. You should read these terms carefully.  By installing or using the Software, you agree to be bound by 
  11. these Terms and Conditions.  If these Terms and Conditions are not accepted in full, you are not 
  12. authorised to use the Software.

  15. 1.    GRANT OF LICENCE
  16.  
  17. ICL grants you the right to have one user of the Software on a single computer or terminal at a time 
  18. (hereinafter "Authorised Use").  You may use upgrade Software only to replace or enhance your earlier 
  19. licensed version of the Software. You may not use, copy, modify, adapt, translate, reverse engineer, 
  20. decompile or disassemble the Software, except as permitted hereunder or to the extent such acts may 
  21. not be prohibited by law in the country of use or create derivative works based on the Software.  All 
  22. rights not expressly granted are reserved by ICL or its licensors.

  24. 2.    COPYRIGHT

  26. The Software and all copyright and other rights in it are owned by ICL or its licensors.

  28. 3.    TERMINATION OF LICENCE
  29.  
  30. You may terminate this Licence at any time by destroying the Software and archival copy.  ICL may 
  31. terminate this Licence if you fail to comply with its terms and conditions.  Upon such termination you 
  32. shall destroy the Software and archival copy and confirm to ICL in writing that you have done so.

  34. 4.    OTHER RESTRICTIONS
  35.  
  36. You acknowledge that this Licence is personal to you and neither this Licence nor the Software may 
  37. be transferred, sub-licensed or otherwise assigned.  Any export of the Software is subject to the 
  38. requirements and restrictions of applicable laws and regulations, including but not limited to the Export 
  39. Administration Regulations of the United States of America.  You may configure the Software for your 
  40. own use provided it is in support of your Authorised Use.

  42. 5.    LIMITED WARRANTY
  43.  
  44. ICL warrants that the Software will perform with normal use substantially in accordance with the 
  45. accompanying material for a period of ninety (90) days from the date of receipt.  This warranty is void 
  46. if failure of the Software has resulted from accident or misuse.  Any replacement of the Software will 
  47. be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer.

  49. 6.    END USER REMEDIES

  51. ICL's entire liability and your exclusive remedy in the event that a valid claim is made by you to ICL 
  52. within the terms of the aforesaid warranty shall be either the return of the price paid by you for the 
  53. licence of the Software (if any) or, at ICL's option, the repair or replacement of the Software.

  55. 7.    NO OTHER WARRANTIES
  56.  
  57. ICL AND ITS LICENSORS DISCLAIM ALL OTHER CONDITIONS OR WARRANTIES EXPRESS OR 
  58. IMPLIED, STATUTORY OR OTHERWISE WHICH ARE HEREBY EXPRESSLY EXCLUDED TO THE 
  59. EXTENT PERMITTED BY LAW.  FOR THE AVOIDANCE OF DOUBT, NEITHER ICL NOR ITS 
  60. LICENSORS WARRANT THE QUALITY OR ACCURACY OF ANY INFORMATION OR 
  61. DOCUMENTATION RESULTING FROM OR TRANSMITTED USING THE SOFTWARE.  THERE IS 
  62. NO WARRANTY BY ICL OR ANY OTHER PARTY OR PERSON THAT THE FUNCTIONS 
  63. CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE 
  64. OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE.  YOU ASSUME 
  65. ALL RESPONSIBILITY FOR THE SELECTION OF THE SOFTWARE TO ACHIEVE YOUR 
  66. INTENDED RESULTS, AND FOR THE INSTALLATION, USE AND RESULTS OBTAINED FROM IT.

  68. 8.    NO LIABILITY FOR CONSEQUENTIAL DAMAGES

  70. NEITHER ICL NOR ITS LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, SPECIAL OR 
  71. CONSEQUENTIAL LOSS, OR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, 
  72. LOSS OF USE, LOSS OF CONTRACTS, ANTICIPATED SAVINGS OR FOR ANY ECONOMIC OR 
  73. FINANCIAL LOSS WHATSOEVER AND HOWSOEVER SUFFERED, EVEN IF ICL HAS BEEN 
  74. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  76. 9.    LAW AND JURISDICTION
  77.  
  78. These terms and conditions shall be governed by and construed in accordance with the laws of 
  79. England and Wales and any disputes shall be exclusively subject to the jurisdiction of the courts of 
  80. England and Wales.
